The proposed changes, to be presented at the Extraordinary General Meeting on May 14, 2024, would expand the board's authority to increase the company's capital through various means, including cash contributions, optional dividends, and contributions in kind.

The amendments outline that the board could increase capital by a specific percentage of the capital amount on the date of the general meeting. These increases could occur under different conditions, such as with or without preferential subscription rights for shareholders, and through contributions in kind. Notably, the proposal includes the possibility of capital increases related to the distribution of an optional dividend, offering shareholders flexibility.

The proposed changes also clarify the board's power to restrict or cancel preferential subscription rights under certain circumstances, while emphasizing the protection of existing shareholders. The board would be empowered to amend the articles of association to reflect these capital increases, with this authorization renewable for a period of two years.
