AEVEX Corp. Investors Face Deadline in Class Action Lawsuit

Law firm Robbins Geller Rudman & Dowd LLP has announced a deadline for investors who purchased AEVEX Corp. stock to come forward regarding a class action lawsuit. Purchasers of AEVEX Class A common stock, either through the company's April 2026 initial public offering (IPO) or on the open market between April 17, 2026, and June 4, 2026, have until Tuesday, October 20, 2026, to seek appointment as lead plaintiff.

The lawsuit, captioned Rosenberg v. AEVEX Corp., alleges violations of federal securities laws by AEVEX, its controlling private equity owner Madison Dearborn Partners, LLC, and certain executives, directors, and underwriters. The core allegation is that defendants made false or misleading statements and failed to disclose a pre-arranged plan to prematurely abrogate a lock-up agreement.

According to the complaint, AEVEX and its associates committed to a 180-day lock-up period following the IPO, preventing Madison Dearborn Partners, LLC from selling its shares. However, the lawsuit claims this commitment was circumvented through a plan involving investment banks to allow for a secondary public offering (SPO) shortly after the IPO. This alleged plan came to light when AEVEX announced its intention to sell additional shares on June 1, 2026.

The announcement of the SPO led to a significant drop in AEVEX's stock price. The company's stock fell approximately 16% after filing a registration statement for the SPO. Subsequently, on June 5, 2026, upon the filing of the final prospectus, the stock declined an additional 7% when the existence of the plan to waive the lock-up restrictions became clearer. AEVEX operates as a defense technology contractor supporting the U.S. Unmanned Aerial Systems (UAS) strategy.

The lead plaintiff in a class action lawsuit plays a crucial role in directing the litigation on behalf of all class members. The Private Securities Litigation Reform Act allows eligible investors who purchased stock within the specified period to seek this appointment. An investor's ability to share in any potential recovery is not contingent on serving as the lead plaintiff.
