Anoto Group calls for extraordinary general meeting
Anoto Group AB has called an extraordinary general meeting for November 25, 2016. Key agenda items include a proposed new share issue and incentive programs for executives.
Anoto Group AB (publ) has summoned its shareholders to an extraordinary general meeting to be held on November 25, 2016, in Lund.
The meeting's agenda includes several significant proposals from the board of directors. Among these is a proposed new share issue of up to 46,348,500 shares, which could increase the company's share capital by a maximum of 926,970 SEK. The subscription price is set at approximately 0.20 SEK per share, with exclusive subscription rights granted to ABLE Investment Advisors Inc.
Furthermore, the board proposes the adoption of a new incentive program for the group's leading executives. This program aims to retain and motivate key personnel. It also involves a restructuring of a previously approved incentive program from 2016, reducing the number of options and limiting the program to encompass only the CEO.
Shareholders must be registered in Euroclear Sweden AB's share register by November 18, 2016, to be eligible to attend the meeting. Registration for participation must be completed by November 21. The agenda also covers election of board members and potential remuneration, should proposals be received prior to the meeting.
