Ashford Hospitality Trust secures $17 million fee waiver and share purchase commitment
Ashford Hospitality Trust has negotiated a $17 million advisory fee waiver and a share purchase agreement with advisor Ashford Inc. to improve liquidity.
Ashford Hospitality Trust (AHT) announced on October 20 that its external advisor, Ashford Inc., will waive $17 million in management fees over the next six months. As part of the arrangement, Ashford Inc. has committed to purchasing 2.5% of the company's outstanding shares, signaling an attempt to bolster investor confidence during a period of financial restructuring.
The agreement coincides with the immediate termination of the company's At-the-Market (ATM) equity offering program. This move effectively closes a channel for raising capital through secondary share issuances, a decision likely aimed at reducing dilution risks for existing shareholders while the company manages its current debt obligations.
Financial analysts note that the support from the advisor is intended to provide short-term liquidity relief for the real estate investment trust, which has faced headwinds in the hospitality sector. By opting for fee waivers and direct equity investment, the parties are prioritizing balance sheet stability over traditional capital market fundraising methods for the immediate future.
