AST SpaceMobile Faces Securities Fraud Class Action Lawsuit
AST SpaceMobile, Inc. is facing a securities fraud class action lawsuit alleging material misstatements and omissions regarding the company's capital and liquidity position.

A class action lawsuit has been filed against AST SpaceMobile, Inc., alleging securities fraud related to alleged misrepresentations about the company's financial health. The suit covers the period between March 4, 2025, and July 15, 2026.
The complaint claims that AST SpaceMobile made materially false or misleading statements to investors and failed to disclose crucial information. Specifically, the lawsuit alleges that the company's capital requirements were underestimated, leading to greater debt and share dilution than previously indicated. Investors were allegedly misled about the company's capital sufficiency, its competitive position in the satellite direct-to-device market, and the pace of user adoption in key regions.
The lawsuit was filed in the United States District Court for the Western District of Texas. Investors who purchased or acquired AST SpaceMobile securities during the specified class period have until November 13, 2026, to file as lead plaintiff.
AST SpaceMobile's stock price experienced a significant decline between September 2025 and July 2026, following several analyst downgrades and company disclosures. These included a downgrade by Scotiabank in January 2026, citing competition, slow customer adoption, and satellite launch delays. A subsequent announcement in July 2026 regarding the pricing of $1.0 billion in convertible senior notes led to a further drop in the company's stock price.
