Aurora Cannabis Reaffirms Recommendation to Reject Curaleaf's Bid
Aurora Cannabis Inc. has reaffirmed its recommendation for shareholders to reject Curaleaf's revised hostile takeover bid. The company is also exploring strategic alternatives to maximize shareholder value.

Aurora Cannabis Inc. has once again urged its shareholders to reject a hostile takeover bid from competitor Curaleaf Holdings, Inc. The company's Board of Directors, acting on the unanimous recommendation of a special committee, stated that the revised offer continues to significantly undervalue Aurora.
Aurora highlighted its debt-free status and strong cash position. "Curaleaf's revised offer asks shareholders to give up that strength, and their future upside, at a discount," said Miguel Martin, Aurora's CEO. He also noted that a substantial portion of the cash consideration would effectively be funded by Aurora's own cash reserves.
The company's special committee is actively evaluating strategic alternatives aimed at delivering greater value for shareholders. Martin advised shareholders to take no action at this time, suggesting that tendering shares early could undermine the opportunity for a superior outcome. Curaleaf's offer remains open until December 4, 2026.
Shareholders are advised to take no action to reject the revised hostile bid. Aurora will provide full details of the Board's recommendation and the ongoing strategic review process on its dedicated website and regulatory filings.
