Bairong AI Links Executive Compensation to Market Capitalization
Bairong AI Inc. has granted its founder and CEO, Zhang Shaofeng, 24.4 million share awards whose vesting is directly tied to the company's market capitalization growth.

Bairong AI Inc. (HKEX: 6608) announced a conditional grant of 24,395,000 share awards to its founder, Chairman, and CEO, Zhang Shaofeng. The vesting of these awards is directly linked to the company's market capitalization performance, aiming to align the interests of key management with those of shareholders.
The grant, representing approximately 6.58% of the company's Class B shares, is structured with five progressive tiers based on market capitalization targets. These targets range from an average market capitalization of HK$6 billion for 15 consecutive trading days to HK$10 billion for 183 consecutive trading days. Zhang must also remain employed by the company through the relevant vesting dates.
In addition to the performance-based vesting, a 24-month lock-up period will apply to vested shares. The company also updated its Restricted Share Unit (RSU) scheme limit to enhance its long-term incentive and corporate governance framework. A clawback mechanism is in place to address misconduct.
Bairong AI stated the incentive recognizes Zhang's contributions to developing the company's AI capabilities and its Result-as-a-Service (RaaS) model. The company has expanded its AI agent solutions beyond the financial sector into industries such as logistics and banking.
The share award grant requires shareholder approval at an extraordinary general meeting. Bairong AI focuses on developing full-stack AI capabilities and enterprise-grade AI agent implementation.
