BDC highlights long-term planning as essential for business transfers

As nearly 20 percent of Canadian entrepreneurs plan to exit their businesses within the next five years, the Business Development Bank of Canada (BDC) is emphasizing that successful business transfers are multi-year processes. While many perceive a business sale as a singular event, BDC notes that the transition period—encompassing planning, negotiation, and post-deal integration—typically requires three to five years to execute effectively.

Devesh Dwivedi, a senior consultant at BDC, stresses that establishing clear objectives at the outset is critical for both buyers and sellers. Rushing the transaction often results in poor integration and a failure to achieve the anticipated business results. By distinguishing between the transaction itself, which may take 18 months, and the broader transition, entrepreneurs can better manage their expectations and resources.

Buyers and sellers enter negotiations with naturally conflicting interests: sellers aim for maximum valuation, while buyers seek fair pricing and strategic alignment with their growth objectives. Understanding these divergent perspectives early in the process is a prerequisite for fostering the trust necessary to close a deal.

BDC advises that professional expertise is a necessary safeguard during these complex transitions. By assembling a team of accountants, lawyers, business valuators, and strategic advisors, both parties can mitigate risks. Effective planning remains the most reliable method for ensuring that a business transfer delivers long-term stability for the ongoing enterprise.
