The Business Development Bank of Canada (BDC) has released guidance on conducting due diligence when acquiring a business. The process is crucial for buyers to understand a target company's financials, prospects, and legal standing before completing a deal.

The Business Development Bank of Canada (BDC) is offering guidance to entrepreneurs and businesses on the critical process of due diligence when acquiring another company. This step is designed to provide buyers with comprehensive information on a target's finances, business prospects, and any legal considerations.
According to BDC, due diligence is a vital phase that helps buyers assess the true value of a potential acquisition and identify associated risks. A thorough review can confirm the buyer's initial investment thesis, uncover potential red flags, and inform decisions about proceeding with the deal, or even walking away.
"Due diligence allows you to understand the target business better. It confirms your investment thesis and identifies the risks involved and how you might mitigate them," stated Mark Meloche, Director of Growth & Transition Capital at BDC. He emphasized that the process also serves to test initial expectations and ensure that the valuation and letter of intent remain sensible.
The bank outlines that due diligence typically follows the identification of a target company and the signing of a letter of intent (LOI) and confidentiality agreement. The LOI signifies a serious interest from the buyer and lays out key transaction terms, while the confidentiality agreement allows for the sharing of sensitive information necessary for a detailed evaluation.
BDC highlights that the due diligence process itself can be broken down into three main categories: commercial, financial, and legal. Each area provides specific insights necessary for a holistic understanding of the business being acquired. The bank stresses that verification of information provided by the seller is a key component.
