Bioretec's Shareholders' Nomination Board Composition Announced

Bioretec Plc has announced the composition of its Shareholders' Nomination Board. The appointed members are Tor-Oskar Karlberg from Stephen Industries Inc Oy, Rami Vehmas from Keskinäinen Eläkevakuutusyhtiö Ilmarinen, and Johan Hamström from Sp-Rahastoyhtiö Oy.

At its organizational meeting on October 12, 2026, the Nomination Board elected Tor-Oskar Karlberg as its chairperson. The board's role is to prepare proposals for the Annual General Meeting regarding the composition of Bioretec's Board of Directors and their remuneration.

The chairperson of Bioretec's Board of Directors serves as an expert to the Nomination Board without voting rights. According to the company's charter, the Nomination Board consists of four members: three appointed by the largest shareholders and one representing other shareholders.

The company stated that the selection of these members is a key part of its corporate governance structure. The Nomination Board convenes as needed, and its term continues until the next nomination board is appointed.
