Bittium Oyj Updates Articles of Association

Bittium Oyj has made amendments to its Articles of Association, following a resolution at the company's general meeting. The updated articles specify the company's name as Bittium Oyj (Bittium Corporation in English) and its domicile in Oulu. The scope of business has been clarified to encompass the development, production, and sale of software, equipment, and other products for the automotive and electronics industries, as well as R&D services, other services, and industrial operations.

The Articles of Association stipulate that the Board of Directors shall consist of no less than three and no more than seven members, with one to three deputy members. The term of office for board members concludes at the end of the subsequent Annual General Meeting. A Chief Executive Officer is appointed by the Board.

Company representation is held by the Chairman of the Board and the CEO, individually, or by any two members of the Board of Directors acting together. The company is required to have one auditor, qualified as a Certified Public Accountant, and if not an auditing firm, one deputy auditor. The auditor's term ends at the conclusion of the next Annual General Meeting.

The financial period is the calendar year, and the company's shares are recorded in the book-entry system. The articles also refine the procedures for convening general meetings, including provisions for remote participation via telecommunications.
