BRC Group Holdings to Acquire Sangoma Technologies for Portfolio Expansion
BRC Group Holdings, Inc. has agreed to acquire Sangoma Technologies Corporation for approximately $204 million in enterprise value. The transaction is set to enhance BRC's communications offerings.
BRC Group Holdings, Inc. announced on September 28, 2026, that it will acquire Sangoma Technologies Corporation for an enterprise value of approximately $204 million (C$289 million). The agreement will see a wholly owned subsidiary of BRC purchase all outstanding common shares of Sangoma.
On a combined basis, BRC's communications businesses and Sangoma generated approximately $441 million in revenue for the trailing twelve months ending June 2026. BRC's existing communications businesses reported approximately $52 million in segment income during the same period.
"We believe that by acquiring a scaled operator like Sangoma, we accelerate our recurring revenue and earnings power," said Bryant Riley, Chairman and Co-CEO of BRC Group Holdings. The acquisition is expected to integrate Sangoma's cloud-based, on-premises, and hybrid communication solutions into BRC's existing portfolio, which includes UOL, magicJack, Marconi Wireless, and Lingo.
Sangoma, founded in 1984, provides unified communications, contact center, and connectivity solutions to over 100,000 business customers. The transaction is anticipated to close under a plan of arrangement, after which Sangoma's shares will be delisted from the Toronto Stock Exchange and Nasdaq Stock Market.
