B&S Group Shares to be Delisted from Euronext Amsterdam
B&S Group S.A. shares will be delisted from Euronext Amsterdam effective December 23, 2025. This follows the acquisition of over 95% of the company's shares by ELBF Investments Netherlands B.V., the Offeror.
Amsterdam, Netherlands – B&S Group S.A. will be delisted from Euronext Amsterdam on December 23, 2025. The decision comes after ELBF Investments Netherlands B.V. (the "Offeror"), an affiliate of Sarabel Invest S.à r.l., secured more than 95% of the company's outstanding share capital following settlement on November 24.
The last day of trading for B&S Group shares on Euronext Amsterdam will be December 22, 2025. The Offeror commenced a recommended public offer for all issued and outstanding shares of B&S Group earlier in the autumn.
A post-acceptance period, during which remaining shareholders can tender their shares at the offer price, is ongoing and set to conclude on December 2. The Offeror is expected to announce the final results of this period, including the total percentage of shares acquired.
Following the settlement and reaching the 95% threshold, the Offeror also has the option to initiate a statutory squeeze-out procedure to acquire any remaining shares. The company has indicated it will make a public announcement if it decides to pursue this option.
