Trading of shares in retail group B&S Group SA will cease on the stock exchange as of December 23, 2025. The move follows a takeover offer which resulted in a majority of the company's shares transferring to the bidder.

B&S Group shares to be delisted from stock exchange end of 2025

B&S Group SA announced its shares will be delisted from Euronext Amsterdam effective December 23, 2025. The company confirmed the final results of the offer for its shares, stating that all conditions have been met. This delisting signifies a transition to a new ownership structure, ending the company's status as a publicly traded entity.

The offeror declared the offer unconditional in late November, following which a substantial majority, exceeding 97 percent, of the company's shares had either been acquired or tendered under the offer. An extraordinary general meeting in early December finalized the arrangements for the cessation of trading.

Throughout 2025, B&S Group issued several press releases detailing key developments. These included results from various general meetings, such as the one on December 5th, alongside announcements regarding the final outcome of the share offer and the subsequent delisting. Changes to the composition of the company's boards were also proposed and approved during the year.

Previously, in 2024, B&S Group reported significant corporate actions, including the divestment of Lagaay Medical Group and certain liquor activities in April 2025. In 2024, the company also focused on expanding its Personal Care segment through acquisitions and reinforcing its capital structure via credit facility extensions. The company has been undertaking strategic initiatives to streamline its business segments and allocate resources towards more profitable areas.
