Bureau Veritas Shareholders' Meeting Approves All Proposed Resolutions

Paris – The Combined Shareholders’ Meeting of Bureau Veritas, held on June 19, 2025, adopted all resolutions submitted by the Board of Directors with a significant majority. Key decisions included the approval of the statutory and consolidated financial statements for the fiscal year ending December 31, 2024, and the distribution of a dividend of €0.90 per share, payable on July 3, 2025.

The meeting also approved several other significant items. These encompassed a related-party agreement concerning the company’s participation in Wendel’s share placement, the report on corporate officers’ compensation, and the specific compensation packages for 2024 for Chairman Laurent Mignon and CEO Hinda Gharbi. The compensation policy for directors and executive officers for 2025 was also approved, alongside renewed authorizations for the Board of Directors to trade in the company's shares.

Laurent Mignon was reappointed as Chairman of the Board of Directors, following the renewal of his term as Director. The terms of office for three other directors were also renewed. Lucia Sinapi-Thomas concluded her tenure on the Board, and Elodie Perthuisot was appointed as her replacement as an independent director. Perthuisot brings significant expertise in digital transformation and operational management from the retail sector.

In addition to financial reporting, CEO Hinda Gharbi and CFO François Chabas presented highlights of the 2024 financial year, reviewed results, and provided an update on the company’s outlook for 2025 and progress on the LEAP I 2028 strategic plan.
