Cellectis supplements share capital information following follow-on offering
Biotechnology company Cellectis has supplemented its previous announcement regarding the pricing of a global offering of American Depositary Shares (ADS). The offering priced at $2.50 per ADS.

NEW YORK โ February 3, 2023 โ Cellectis, a clinical-stage biotechnology company, supplemented on February 3 its previously announced global offering of 8,800,000 American Depositary Shares (ADS), each representing the right to one ordinary share. The offering, which launched on February 2, priced at $2.50 per ADS. Settlement is expected on or about February 7, 2023.
The company stated that the supplement provides information on the allocation of share capital, in accordance with French regulatory requirements. Cellectis focuses on developing life-saving cell and gene therapies using its gene-editing platform.
Existing shareholders including Bpifrance Participations, Baillie Gifford & Co., and Long Focus Capital Management LLC are expected to be allocated over half of the ADSs sold. The listing of Cellectis' ordinary shares on Euronext Growth in Paris, which was suspended on February 3, resumed later that day.
The ADSs are offered under a shelf registration statement filed with the U.S. Securities and Exchange Commission (SEC). Jefferies LLC and Barclays Capital Inc. are acting as joint book-running managers for the offering.
