Clarivate Announces Pricing Terms for Debt Securities Purchase Offer
Clarivate Plc has announced the pricing terms for its cash tender offer to purchase certain outstanding debt securities. The offer applies to the company's 3.875% Senior Secured Notes due 2028.

London, September 23, 2026 – Clarivate Plc announced today the pricing terms for its previously announced cash tender offer. The offer, conducted by its wholly-owned subsidiary Clarivate Science Holdings Corporation, seeks to purchase specific outstanding debt securities issued by Clarivate.
The company is offering to pay $975.15 for every $1,000 principal amount of its 3.875% Senior Secured Notes due 2028 that are validly tendered and accepted for purchase. In addition to this amount, holders of accepted notes will receive accrued and unpaid interest up to the settlement date.
The tender offer has a cap of $75,000,000 on the aggregate principal amount of notes that may be purchased, though this cap is subject to adjustment. The pricing is based on a reference yield of 4.125% for a U.S. Treasury security maturing June 30, 2028, plus a fixed spread of 50 basis points. The total outstanding principal amount for these notes is $825,000,000.
The offer is set to expire on September 23, 2026, unless extended or terminated earlier. Citigroup Global Markets Inc. is acting as the dealer manager for the offer, which is part of Clarivate's strategy to manage its debt obligations.
