Class Action Lawsuit Filed Against AST SpaceMobile Over Securities Fraud

A securities fraud class action lawsuit has been filed against AST SpaceMobile, Inc., alleging that the company and its executives made materially false and misleading statements to investors. The lawsuit claims that the company misrepresented its capital and liquidity position, competitive standing, and operational progress.

The suit, filed in the U.S. District Court for the Western District of Texas, covers the period between March 4, 2025, and July 15, 2026. Investors who purchased ASTS securities during this period and wish to be considered for lead plaintiff status must file by November 13, 2026.

Key allegations include that AST SpaceMobile overstated its capital requirements, leading to greater debt and dilution than previously indicated. The complaint also asserts that the company misrepresented its competitive position in the direct-to-device satellite market and failed to disclose slow user adoption rates in the U.S. and Japan. These factors allegedly had a significant negative impact on the company's business and financial prospects.

Investor concerns were heightened by stock downgrades and company disclosures. Notably, a downgrade by Scotiabank in January 2026 cited competition from SpaceX's Starlink and slow customer adoption. A subsequent press release in July 2026 announcing a $1.0 billion convertible senior notes offering led to a significant drop in AST SpaceMobile's stock price. The law firm Kessler Topaz Meltzer & Check, LLP is representing the investors in this action.
