Compass, Inc. faces class action lawsuit over Anywhere Real Estate merger

A securities fraud class action lawsuit has been filed against Compass, Inc. in the U.S. District Court for the Southern District of New York. The litigation concerns investors who exchanged Anywhere Real Estate Inc. shares for Compass stock during the companies' January 2026 merger.

The complaint alleges that Compass misrepresented its antitrust compliance efforts in its official offering documents. Specifically, plaintiffs claim the company utilized high-level political connections to bypass standard regulatory review processes. The suit asserts that these undisclosed actions created significant, uncommunicated risks of future regulatory and Congressional scrutiny.

Investors who acquired Compass stock through the merger have until December 8, 2026, to file for lead plaintiff status. Legal representation for the case is being handled by the law firm Kessler Topaz Meltzer & Check, LLP.
