Constantine Metal Resources Shareholders Approve Arrangement with ICG Silver & Gold

Constantine Metal Resources Ltd., formerly American Pacific Mining Corp., announced on February 25, 2026, that its shareholders have approved all resolutions presented at the annual general and special meeting. The key approval concerns a proposed arrangement with ICG Silver & Gold Ltd. (ICG) for the sale of the Tuscarora and Danny Boy mineral projects.

Shareholders voted in favor of the arrangement agreement, under which ICG will acquire 100% of the Tuscarora and Danny Boy projects. In exchange, Constantine Metal Resources will receive 11,500,000 common shares of ICG. The company intends to distribute 7,500,000 of these shares to its own shareholders.

Approximately 37.17% of the voting shares were represented at the meeting. Over 90% of the votes cast, including minority shareholder votes, were in favor of the arrangement. The election of directors and the re-appointment of the company's auditor were also approved.

Constantine Metal Resources will now seek a final order from the Supreme Court of British Columbia. The arrangement is expected to be completed in March 2026, pending the court order and ICG's listing on the Canadian Securities Exchange. ICG, currently a private entity, is actively pursuing its public listing in Q1 2026 to advance exploration and development at the Tuscarora District.
