Critical Metals Corp Sets Share Exchange Ratio for European Lithium Acquisition
Critical Metals Corp has finalized the share exchange ratio for its acquisition of European Lithium, with investor voting scheduled for October 22, 2026.

Critical Metals Corp has confirmed the share exchange ratio for its proposed acquisition of European Lithium. Under the terms of the transaction, European Lithium shareholders will receive 0.045 new Critical Metals Corp shares for each share held, a decision reached after the 20-day volume-weighted average price (VWAP) of Critical Metals Corp fell to or below the agreed floor price of $8.00.
The acquisition will be executed through a court-approved scheme of arrangement under Australian law. The company is also finalizing calculations for the treatment of listed options, with a formal announcement regarding that consideration expected by late October. The Independent Board Committee of European Lithium continues to recommend that investors support the scheme, provided no superior proposal emerges.
If approved by securityholders and the Supreme Court of Western Australia, the deal will consolidate assets including the Wolfsberg Lithium Project in Austria. The acquisition aims to strengthen Critical Metals Corp’s position as a regional supplier of minerals for clean energy and defense sectors.
