Curaleaf Maintains Takeover Bid for Aurora Cannabis Following Rival Offer
Curaleaf remains committed to its acquisition bid for Aurora Cannabis as it evaluates an alternative transaction proposed by Organigram.

Curaleaf Holdings has confirmed that its October 6 takeover bid for Aurora Cannabis remains active, dismissing the significance of a competing proposal from Organigram. Curaleaf asserts that its own offer provides superior value, citing stronger capital market positioning and greater synergy potential.
The company is currently reviewing the details of the Organigram agreement, noting that critical information remains undisclosed, such as break-fee provisions, board composition, and the potential for shareholder dilution. Curaleaf stated that neither Aurora nor Organigram have clarified the financial impact of the proposed merger on existing shareholders.
Curaleaf also criticized the Aurora board for granting due diligence access to Organigram, labeling the move a failure of fiduciary duty. The firm claims that Aurora’s refusal to engage directly with Curaleaf hinders the possibility of an improved offer that could benefit stakeholders.
