Delaware AI corporate entity proposal faces federal scrutiny

US Representative James Comer, chairman of the House Committee on Oversight and Government Reform, has launched an inquiry into Delaware’s legislative proposal to allow Artificial Intelligence Companies (AICs) to operate without human management. The committee is seeking documentation regarding the potential legal implications of this corporate structure.

In a formal letter to Delaware Governor Matt Meyer, Comer expressed apprehension that the proposed structure could facilitate the evasion of legal accountability for harms caused by autonomous systems. The congressman argues that the framework might shield investors and operators from liability for reckless business conduct.

Beyond liability concerns, the inquiry suggests that the proposal could inadvertently encourage non-transparent regulatory capture. The committee aims to determine how the state intends to manage oversight if corporate decision-making is delegated entirely to automated agents.
