Delaware proposes legal framework for AI-agent operated companies

Delaware is considering legislation to allow companies to be founded and operated by AI agents, prompting concerns from U.S. federal lawmakers.

2 November 2026

The state of Delaware is moving to modernize its business regulations to allow the registration of companies operated by autonomous AI agents. The proposal includes a 30-month regulatory sandbox, enabling AI systems to execute business decisions within a monitored environment. Under this framework, AI-run entities would have the legal standing to sue and be sued, mirroring traditional corporate structures.

James Comer, chairman of the U.S. House Oversight Committee, has formally challenged the initiative in a letter to Governor Matt Meyer. Comer cited concerns that such corporate structures could be exploited to insulate AI firms and their investors from legal liability for reckless or harmful actions taken by autonomous systems.

Legal experts suggest the move is a pragmatic attempt to provide legal certainty for an emerging industry. Proponents argue that if U.S. states do not establish clear guidelines, similar corporate structures will inevitably emerge in foreign markets with less oversight.
