National shareholder rights law firm Hagens Berman has initiated a securities class action lawsuit against DNOW Inc. The suit alleges that the company and its management made misrepresentations and omissions in connection with DNOW's acquisition of MRC Global Inc.

The core of the lawsuit claims that DNOW failed to disclose significant challenges related to the integration of MRC Global's enterprise resource planning (ERP) system. According to the complaint, DNOW's proxy materials downplayed or omitted issues with the newly implemented ERP system, assuring investors that it was "state-of-the-art" and would improve operational efficiency.

The legal action followed DNOW's fourth quarter and full-year 2025 financial results announcement. On February 20, 2026, the company disclosed that MRC Global's revenues had sharply declined due to "persistent ERP challenges." Management admitted the software implementation was an "obstacle," causing operational slowdowns and requiring substantial unexpected capital expenditures for remediation. Following this disclosure, DNOW's stock price dropped 19% in a single trading session.

Hagens Berman is seeking investors who purchased DNOW common stock and sustained substantial losses. The lead plaintiff deadline in the case is October 2, 2026. The firm is investigating whether the merger proxy materials deliberately understated the ERP integration failures to facilitate the acquisition, as alleged in the complaint.
