Dun & Bradstreet Holdings Faces Shareholder Lawsuit Over Merger

The law firm Robbins LLP announced a class action lawsuit filed against Dun & Bradstreet Holdings, Inc. The suit claims the company's sale to Clearlake Capital Group in March 2025 was orchestrated by its Executive Chairman William P. Foley to alleviate a liquidity crisis at Cannae Holdings, a major shareholder, which Foley also chaired.

According to the complaint, the transaction was designed to address Foley's liquidity issues at Cannae and to counter an activist proxy contest that threatened his control over Cannae. Dun & Bradstreet is a global provider of business decision data and analytics.

Investors who incurred significant losses between May 13, 2025, and August 26, 2025, are urged to contact Robbins LLP by the lead plaintiff deadline of November 10, 2026. The firm is representing investors on a contingency fee basis.

The lawsuit alleges that Dun & Bradstreet made misleading statements and failed to disclose material facts in its merger announcement and proxy statement. These omissions allegedly included the true motivation for the sale, the existence of alternatives potentially worth more than the sale price, and conflicts of interest among advisors.
