Ecopetrol Calls Bondholder Meetings for Domestic Debt Ahead of Merger

Colombian energy company Ecopetrol S.A. has announced that it will hold meetings for its bondholders on August 18, 2026. The meetings are to discuss proposals concerning the merger by absorption between Ecopetrol S.A. and its subsidiary, Parque Solar Portón del Sol S.A.S.

In the proposed transaction, Ecopetrol will be the surviving entity, absorbing Portón del Sol. The company stated the merger aims to enhance operational and administrative efficiency. This move is part of Ecopetrol's strategy to maintain financial stability and optimize its structure.

The proposals submitted to bondholders relate to Ecopetrol's domestic public debt bonds. Ecopetrol seeks the consent of its creditors for modifications that will allow the merger to proceed without adversely affecting the terms or repayment obligations of these bonds.

Ecopetrol is Colombia's largest company and a key player in the national energy sector. It is listed on both the Colombian Stock Exchange (BVC) and the New York Stock Exchange (NYSE). The bondholder meetings are a required step in the process of executing this corporate reorganization.
