Epiroc amends articles of association

Epiroc Aktiebolag, a company involved in mining and civil engineering equipment, has updated its articles of association. The resolution was made during the general meeting held on May 5, 2026. The registered office of the company remains in Nacka municipality.

The amended articles define the company's share capital range between SEK 300 million and SEK 1.2 billion, with the number of shares to be between 1 billion and 4 billion. The company can issue Class A and Class B shares. Class A shares carry one vote, while Class B shares carry one-tenth of a vote. Both classes have equal rights to the company's assets and profits.

The updated regulations also detail shareholders' pre-emptive rights for new share issues, subscription warrants, and convertibles. The board of directors will consist of 6 to 12 members, and the company will have one to two auditors or accounting firms. Notices for general meetings will be published in the Official Swedish Gazette (Post- och Inrikes Tidningar) and on the company's website, with an announcement also appearing in Svenska Dagbladet.

Attendance at general meetings requires prior notification by shareholders, with specific deadlines outlined. The company is also authorized to allow shareholders to vote by mail prior to general meetings, potentially via electronic means if decided by the board.
