Ethan Allen Files Proxy Statement, Urges Shareholders to Vote for Nominees

Ethan Allen Interiors Inc. announced it has filed its definitive proxy statement with the U.S. Securities and Exchange Commission and mailed a letter to shareholders. The company is urging shareholders to vote for its five director nominees at the Annual Meeting of Stockholders scheduled for November 4, 2026.

The company's Board of Directors highlighted in the letter that Ethan Allen's five-year shareholder return has been 49.1%, significantly outperforming its peer median of a 42.7% loss. The Board has also returned $768 million in dividends to shareholders. The company emphasized its debt-free, vertically integrated business model has sustained gross margins above 59% for five consecutive fiscal years and achieved operating margins more than double its peers.

Ethan Allen detailed a repositioning of its business, including investments in technology and the refresh of over 100 design centers. This transition, now substantially complete, aims to drive long-term profitable growth. The company also noted increased marketing spend to enhance brand awareness and connect online engagement with in-person design services.

Furthermore, the Board confirmed it is advancing a formal CEO succession process, engaging an executive search firm, with a commitment to announce the new CEO by June 30, 2027. Ethan Allen cautioned shareholders about DGB Investment, a 5.2% shareholder seeking control without a clear operating plan, urging a vote FOR its nominees on the BLUE proxy card.

The Annual Meeting is scheduled for November 4, 2026, at 11:00 A.M. Eastern Time. Shareholders of record as of September 11, 2026, are entitled to vote.
