European Commission Approves Kesko's Acquisition of Dahl Operations in Nordic Countries
The European Commission has unconditionally approved Kesko Oyj's transaction to acquire Dahl in Sweden and Brødrene Dahl in Norway and Denmark. The deal is expected to be completed by the end of the year.
The European Commission has granted unconditional approval for Kesko Oyj's planned acquisition of Dahl operations in Sweden, Norway, and Denmark. Other necessary regulatory approvals have already been secured. The transaction is anticipated to be finalized by the end of 2026.
Kesko announced in June 2026 its intention to acquire technical wholesale businesses in the Nordic region from Saint-Gobain. Upon completion, this acquisition will strengthen Kesko's position in the HVAC and infrastructure wholesale sectors across Sweden, Norway, and Denmark. The combined net sales of the businesses to be acquired were approximately €2.1 billion in 2025, with an EBITDA of €146 million. Dahl in Sweden and Brødrene Dahl in Norway and Denmark will continue to operate as three distinct business units under their existing brands.
This acquisition marks the largest in Kesko's history. The company possesses significant experience in the technical wholesale sector, stemming from its 2016 acquisition of Onninen. The completion of this deal will elevate the building and technical trade division to become Kesko's largest segment by sales. The company's international presence will expand considerably, with over one-third of its revenue generated outside of Finland.
