FF EAI Robotics Ecosystem Inc. (formerly AIxCrypto Holdings, Inc.) announced on September 29, 2026, that it has entered into a non-binding term sheet to acquire the robotics assets and business of Faraday Future Intelligent Electric Inc. (FFAI) for an estimated $200 million valuation. The transaction aims to establish FFR as the first pure-play robotics ecosystem company listed on Nasdaq.

Upon completion, FFR will discontinue its cryptocurrency strategy to focus exclusively on robotics. The business being acquired has launched 24 products across three robot forms within the past year, all of which have received FCC certification. The companies view robotics as a significant opportunity within the physical AI sector, driven by increasing demand for automation.

The proposed deal involves an all-stock acquisition of FFAI's robotics operations and assets. The final per-share price will be the lower of $2.246 or the five-day average closing price prior to signing. Should the per-share price fall below $2.246, FFR intends to issue a special stock dividend to eligible shareholders.

FFR, previously AIxCrypto Holdings, Inc., will officially change its name and Nasdaq ticker to FFR effective September 30, 2026. The company projects achieving positive operating cash flow in the third quarter of 2028 and estimates revenues to reach approximately $45.17 million by 2027. The objective is to build a comprehensive robotics ecosystem covering the entire lifecycle of robotic products.
