Fluence Energy Faces Securities Class Action Lawsuit Over Guidance Disclosures

A securities class action lawsuit has been filed against Fluence Energy, Inc. in the United States District Court for the Southern District of New York. The litigation covers the period between November 24, 2025, and September 16, 2026, and alleges that the company issued materially misleading statements concerning its business operations and ability to meet financial guidance.

The complaint asserts that Fluence Energy failed to disclose critical production delays and operational failures at its contract manufacturing facilities. These facilities were reportedly either incomplete or incapable of reaching the production volumes necessary to support the revenue and EBITDA targets previously communicated to investors.

Financial performance began to suffer in early 2026, characterized by declining profit margins and missed revenue expectations. On September 16, 2026, the company lowered its annual revenue guidance by approximately $600 million and downgraded its adjusted EBITDA forecast, citing failures in ramping up contract manufacturing. The announcement caused the company’s share price to drop by more than 15% the following day. Investors affected during the class period must file for lead plaintiff status by November 27, 2026.
