Fortum Shares Subscribed Under 1999 Option Schemes

The share subscriptions are linked to the 1999 warrant bond for employees and the 1999 management stock option scheme. A total of 27,060 shares were subscribed under the employee warrant program, and 45,000 shares under the management option scheme. These new shares began trading on the Helsinki Exchanges' Main List on May 6, 2003, alongside existing shares.
As a result of these subscriptions, Fortum's share capital increased by EUR 245,004. The registered share capital now stands at EUR 2,875,881,891, with a total of 845,847,615 shares outstanding. The company's equity increased by a total of EUR 362,043 from these transactions.
The new shares entitle holders to any dividend potentially paid by the company for the 2003 financial period. Other shareholder rights became effective on the registration date, May 5, 2003. The subscription price for shares related to the employee warrant bond was adjusted to EUR 4.05 due to the dividend paid for the 2002 financial year.
