Fortum Shares Subscribed With Warrants
Fortum Oyj has registered its share subscription related to the company's share warrants with the trade register. The company's share capital has increased significantly.

Helsinki – Fortum Oyj announced on December 9, 2004, that it has completed a significant share issuance related to its previously issued share warrants. The new shares will commence trading on the Helsinki Stock Exchange's main list on December 10, 2004.
The share issuance included a total of over 13.4 million new shares that were subscribed for and paid in connection with the company's bond loans with warrants and share option schemes. These include employee option programs from 1999 and 2002, as well as a management option program from 1999.
As a result of the share issuance, Fortum's share capital increased to 867,083,905 shares. The company's share capital rose by EUR 45.6 million to EUR 2.95 billion. Shareholders' equity increased by a total of over EUR 62.7 million across the subscription categories.
Shares subscribed under the new issuance will be entitled to the dividend for the financial year 2004 under specific conditions. Shares subscribed for during 2005 will no longer be entitled to the 2004 dividend.
The increased number of shares will trade alongside the existing shares. Subscriptions made by the end of 2004 will be processed in January 2005, after which trading will commence.
