Fortum's AGM decides on dividend and board composition
Fortum's Annual General Meeting on March 31, 2026, resolved to distribute a dividend of EUR 0.74 per share for 2025. The meeting also approved board remuneration and elected new members.

Helsinki – Fortum Oyj's Annual General Meeting (AGM) convened on March 31, 2026, in Helsinki. The AGM adopted the financial statements for 2025 and decided to distribute a dividend of EUR 0.74 per share. The total dividend payout amounts to approximately EUR 664 million and will be paid to shareholders on April 14, 2026.
Following a proposal from the Shareholders' Nomination Board, the AGM resolved that the Board of Directors will consist of ten members. Mikael Silvennoinen will continue as Chair and Jonas Gustavsson as Deputy Chair. Mika Anttonen and Emmanuelle Verger-Chabot were elected as new members. The annual fees for board members were set for the term ending at the 2027 AGM. The Chair will receive EUR 175,000 annually, the Deputy Chair EUR 95,000, and other members EUR 75,000. A meeting fee of EUR 1,000 will be paid per meeting.
The AGM discharged the Board members and the President and CEO from liability for the financial year 2025. The remuneration report for governing bodies for 2025 was also approved. Minor technical amendments were made to the company's Articles of Association to align with legislative changes in sustainability reporting.
KPMG Oy Ab was re-elected as the company's auditor and sustainability reporting assurance provider for the financial year 2027. Kirsi Jantunen will serve as the principal auditor.
