GEM and Senhwa Biosciences Execute Share Purchase Agreement

GEM Global Yield LLC SCS (GEM) and Taiwan-based Senhwa Biosciences Inc. have formally executed a share purchase agreement (SPA), through which GEM commits to investing up to NT$500 million (approximately US$15.5 million) in Senhwa shares over the next three to five years.

The agreement allows GEM to purchase shares periodically at the election of certain shareholders. The funding is intended to support Senhwa's ongoing clinical development of oncology therapies. This capital infusion will bolster continued investment in Senhwa's clinical pipeline, potential in-licensing opportunities, and AI-driven pipeline prioritization and expansion.

Senhwa's lead assets include investigational oncology therapies CX-5461 (pidnarulex) and CX-4945 (silmitasertib), currently being studied across multiple cancer indications. The company maintains R&D collaborations with organizations such as the U.S. National Cancer Institute (NCI) and AI firm CellType.

"We are very pleased that a prominent international investment group like GEM recognizes Senhwa's long-term potential and has chosen to provide access to significant capital," said Dr. Pin-Yen Huang, Acting CEO of Senhwa Biosciences. "GEM's validation strengthens our global market positioning as we continue to advance our oncology pipeline, expand strategic international collaborations, and bring innovative therapies to patients."

Both of Senhwa's drug candidates have secured Orphan Drug and Rare Pediatric Disease designations from regulatory authorities. The pediatric designation is particularly significant for investors, as it preserves the company's eligibility for a marketable Priority Review Voucher (PRV) upon drug approval, which can carry substantial commercial value.
