Gentoo Media secures EUR 50 million loan and share issue for bond refinancing

Gentoo Media has agreed to a EUR 50 million senior secured loan and planned share issue to refinance its December 2026 bonds, totalling EUR 100 million in new capital.

Gentoo Media Inc. has finalized a significant financing package aimed at refinancing its upcoming bond maturity. The company announced on October 1, 2026, an agreement for a EUR 50 million senior secured term loan with ZJF, a major shareholder, and plans for a EUR 50 million directed share issue in the fourth quarter of 2026.

The combined proceeds from the loan and the planned share issue are intended to fully repay Gentoo Media's approximately EUR 91.5 million in senior secured bonds maturing on December 18, 2026. Additionally, the company plans to use a portion of the funds to reduce other existing debt facilities.

The senior secured loan allows for prepayment without penalty, carrying no equity components. The share issue requires shareholder approval to increase authorized capital. Commitments from major shareholders, including ZJF and MJF, fully underwrite the prospective share issue.

Gentoo Media engaged in a thorough refinancing process, engaging over 100 potential financing providers and receiving multiple firm offers. The company states the new capital structure will provide flexibility for future capital returns to shareholders, such as dividends or share buybacks, once the bonds are redeemed.
