HDFC Bank Limited: Investors Invited to Lead Securities Fraud Class Action

National law firm Hagens Berman has notified investors in HDFC Bank Limited (NYSE: HDB) of a pending securities fraud class action lawsuit. The complaint alleges that the bank and its executives concealed material adverse facts concerning its business operations, financial accounting, and regulatory compliance. Investors who purchased HDFC Bank securities between July 17, 2023, and May 26, 2026, and suffered losses, must petition the court to be appointed lead plaintiff by October 13, 2026.
The lawsuit centers on allegations that HDFC Bank illicitly funneled approximately Rs 45 crore (approximately $4.7 million USD) for deposit inducements with the Maharashtra State Road Development Corporation (MSRDC). The bank allegedly paid MSRDC above-market interest rates by disguising a portion of the payments as marketing expenses. This action is claimed to have violated regulations from the Reserve Bank of India (RBI) and the bank's own internal policies.
The complaint contends these covert practices led to an overstatement of the company's interest income and operating expenses during the class period, rendering the bank's public statements and financial controls false and misleading. The bank's stock value experienced significant declines following two key revelations: in March 2026, board members resigned citing unethical practices, and in May 2026, an investigative report exposed the camouflaging of payments.
Reed Kathrein, the Hagens Berman partner leading the investigation, stated the firm is examining whether HDFC's senior leadership concealed a covert scheme to funnel funds as disguised payments while publicly projecting strong governance and compliance.
