HKFoods Oyj's annual general meeting decided on a dividend of 0.08 euros per share for 2025. The meeting also appointed new board members and approved remuneration.

HKFoods approves dividend and restructures board

HKFoods Oyj's annual general meeting, held in Turku on April 22, 2026, approved the company's financial statements and decided to distribute a dividend to shareholders. A dividend of 0.08 euros per share will be paid. Additionally, the board may decide to distribute up to 0.07 euros per share from its fund for unrestricted equity.

The general meeting elected eight members to the company's board of directors. Five members were re-elected, and three new members were appointed: Mirel Leino-Haltia, Juha-Pekka Ojala, and Ellen Rydbeck. Their terms will run until the end of the 2027 annual general meeting. Following the meeting, the board elected Ilkka Uusitalo as its new chairman and Jari Mäkilä as vice chairman. Board members' annual remuneration remained unchanged and will be paid partly in company shares and partly in cash.

Furthermore, the annual general meeting appointed Ernst & Young Oy as the company's auditor and sustainability reporting verifier until the end of the 2027 annual general meeting. The meeting also authorized the board to decide on issuing new shares and granting stock options or other share-related rights. The total number of shares that can be issued under this authorization is up to 3,000,000, representing approximately 3.34 percent of the company's total shares. This authorization may be used for purposes such as capital structure development, expanding the ownership base, financing acquisitions, or implementing incentive programs.

The dividend of 0.08 euros per share will be paid to shareholders registered in Euroclear Finland Oy's shareholder register on the record date of April 24, 2026. The payment date is set for May 4, 2026. The discharge of liability granted by the meeting pertains to the 2025 fiscal year.
