HKFoods proposes board composition and remuneration to Annual General Meeting

HKFoods Plc's Shareholders' Nomination Board has prepared proposals for the company's 2026 Annual General Meeting concerning the size and composition of the Board of Directors. The board proposes that eight ordinary members be elected to the board. Five current members, Jari Mäkilä, Lauri Sipponen, Terhi Tuomi, Ilkka Uusitalo, and Sami Yski, are proposed for re-election for a term ending at the 2027 Annual General Meeting.

Three new members are proposed: Mirel Leino-Haltia, Juha-Pekka Ojala, and Ellen Rydbeck. Their terms would also conclude at the 2027 Annual General Meeting. The candidates have consented to their elections. Current board members Reijo Kisko and Niclas Diesen are not available for re-election.

The Nomination Board also proposed remuneration for the board members for the term beginning at the 2026 meeting and ending at the 2027 meeting. The annual fees proposed are EUR 70,000 for the Chair of the Board, EUR 37,500 for the Vice Chair, and EUR 30,000 for other ordinary members. Additional fees are proposed for committee chairs. Meeting fees are suggested at EUR 650 per attended board or committee meeting.

Furthermore, the Nomination Board proposes that 25% of the annual remuneration to board members and deputy members be paid in the company's shares, acquired on the market on their behalf, with the remainder paid in cash. These shares are to be acquired within two weeks of the publication of HKFoods' interim report for January–September 2026, provided regulations permit. Any costs related to the share acquisition will be covered by the company.
