HKScan Corporation to Hold AGM with Advance Voting Only
HKScan Corporation has announced its Annual General Meeting will take place on March 30, 2022, in Turku. Due to pandemic measures, shareholders can only participate and vote in advance.
HKScan Corporation has invited its shareholders to the Annual General Meeting (AGM) scheduled for Wednesday, March 30, 2022, at 10 am. Finnish time. The meeting will be held at the company's head office in Turku, Finland. In accordance with temporary legislative measures aimed at preventing the spread of COVID-19, participation and the exercise of shareholder rights will be solely through advance voting.
The company's Board of Directors has decided to implement extraordinary measures permitted under temporary legislation. This decision allows the AGM to be organized in a predictable manner while prioritizing the health and safety of shareholders, personnel, and other stakeholders. Pre-recorded presentations from the Chairman of the Board and the CEO will be made available on the company's website on the day of the meeting.
The AGM agenda includes the presentation of the financial statements, the Board of Directors' report, and the auditor's report for the year 2021. Financial statements are considered presented as they are included in the Annual and Corporate Responsibility Report published on March 8, 2022. The Board of Directors proposes a dividend of EUR 0.04 per share for the 2021 financial year, with a proposed record date of April 1, 2022, and a payment date of April 8, 2022. Shareholders will also vote on granting discharge of liability from the Board of Directors and the CEO for the 2021 financial period.
Remuneration for the Board of Directors for the term until the 2023 AGM is proposed by the Shareholders' Nomination Board. Annual fees remain unchanged from 2021, except for the Chair of the Audit Committee who will receive EUR 10,000. A portion of the remuneration, 25%, will be paid in company shares acquired on the market, with the remainder paid in cash. The shares will be purchased within two weeks following the publication of the interim report for January-September 2022.
