HKScan Nomination Board Proposes Six Directors and Two Deputy Directors
HKScan Corporation's Shareholders' Nomination Board has submitted its proposals for the upcoming Annual General Meeting. The proposals outline the number of board members, individuals to be elected, and their remuneration.
HKScan Corporation announced the proposals from its Shareholders' Nomination Board for the upcoming Annual General Meeting, detailing the composition and remuneration of the Board of Directors.
The Nomination Board proposes that the company's board should consist of six ordinary members and two deputy members. The proposal includes the re-election of current members Reijo Kiskola, Anne Leskelä, Jari Mäkilä, Per Olof Nyman, Harri Suutari, and Terhi Tuomi for a term ending at the 2023 Annual General Meeting. Ilkka Uusitalo is proposed for re-election as a deputy member, and Ove Konradsson is proposed as a new deputy member.
Proposed board remuneration remains largely unchanged from the previous year. The annual fee for the Chair of the Board is proposed at EUR 70,000, and for the Vice Chair at EUR 37,500. Fees for other members vary based on committee work, including an increased remuneration for the Chair of the Audit Committee.
Twenty-five percent of the remuneration will be paid in company shares, with the remainder in cash. The shares will be acquired on the market on behalf of the company within two weeks of the publication of the nine-month interim report for 2022. These proposals will be included in the notice for the Annual General Meeting, scheduled for March 30, 2022.
