HPQ Silicium Increases Ownership Stake in Novacium SAS

HPQ Silicium Inc. has finalized an increase in its ownership stake in Novacium SAS, a French technology company, raising its interest from 28.4% to 36.8%. The transaction received approval from the TSX Venture Exchange on February 24, 2026.

This move is intended to enhance HPQ Silicium's strategic exposure to Novacium's operations and its technological and commercial growth potential. Under the agreement, changes were also made to Novacium's governance structure to simplify operations and better align strategic interests.

Novacium focuses on energy-related technologies, including silicon-based battery anodes and hydrogen generation technologies. Previously, HPQ Silicium held a special "Category P priority share" that granted veto rights over certain actions. This share has now been converted into common shares.

The conversion is expected to facilitate Novacium's access to French and European financing programs, particularly those reserved for companies operating in strategic sectors like energy and defense. HPQ Silicium has initiated a deconsolidation process as a result, transitioning its role to that of a strategic investor while maintaining close alignment.
