Hyperscale Data Reduces Sales Under ATM Offering by $200 Million

Las Vegas, NV – Hyperscale Data, Inc. (NYSE American: GPUS), an AI data center company, announced on October 12, 2026, that it has amended its At-the-Market (ATM) Issuance Sales Agreement. The amendment reduces the aggregate amount of its common stock that may be sold under the agreement from $300 million to $100 million.

The company has sold 121,827,841 shares of common stock through the ATM facility, raising approximately $49.8 million in gross proceeds. The reduction in the offering size is based on the company's current capital plans, according to CEO Will Horne. Horne stated that the additional ATM capacity was not currently deemed necessary and that the adjustment aims to limit dilution to shareholders.

"Reducing the size of the ATM reflects our commitment to disciplined capital management while preserving financial flexibility to support our AI data center strategy," said Will Horne. The company's primary focus remains on the prudent deployment of capital and building long-term value through the development of its AI data center in Michigan. This facility is intended to support 20 megawatts of critical compute capacity.

Hyperscale Data intends to fund the construction of the Michigan facility with debt financing, estimating that the project could support between $100 million and $150 million in debt. The company noted that it may evaluate future capital markets options as appropriate.
