Innventure Faces Lawsuit Over Alleged Misleading Information
Shareholder rights law firm Robbins LLP has filed a class action lawsuit against Innventure, Inc. The suit alleges the company provided misleading information regarding a DarkNX partnership for a data center project.

San Diego, CA โ October 12, 2026 โ Shareholder rights law firm Robbins LLP has reminded investors of Innventure, Inc. (NASDAQ: INV) that a class action lawsuit was filed on behalf of those who purchased or acquired securities between November 17, 2025, and August 13, 2026.
The complaint alleges that Innventure disseminated misleading information about a significant deal with DarkNX, an alleged global digital infrastructure company. The company's subsidiary, Accelsius Holdings LLC, had announced an agreement with DarkNX to deploy its NeuCool cooling technology, which was presented as a major shift towards large-scale industry adoption.
However, the lawsuit claims Innventure failed to disclose to investors that the purported DarkNX deal was unlikely to materialize, citing a lack of evidence that DarkNX was constructing or facilitating a large-scale AI data center. Furthermore, the complaint asserts that the company's stated revenue and cash flow targets for Accelsius in 2026 were overstated, rendering defendants' positive statements about the business materially misleading.
Innventure's stock price dropped significantly on May 28, 2026, following a report by Morpheus Research questioning the DarkNX venture's legitimacy. In August 2026, the company reported its second-quarter financial results, including a substantial net loss, and announced it was shifting its focus, removing the DarkNX project from its internal bookings. This news led to a further sharp decline in the stock price.
Robbins LLP is urging investors who suffered significant losses during the Class Period to contact the firm before the October 27, 2026 deadline to learn more about their rights and potential participation in the lawsuit.
