Innventure, Inc. (NASDAQ: INV) and certain executives are named in a securities class action lawsuit following a 55% stock price collapse on August 14, 2026. The decline occurred after the company announced it was removing the DarkNX project from its 2026 forecast and suspending its revenue guidance.

National shareholders rights firm Hagens Berman is investigating claims that Innventure violated federal securities laws. The lawsuit focuses on allegations that the company intentionally or recklessly misled shareholders regarding the viability of its Accelsius' DarkNX project. This project, touted as a significant advancement in AI data center cooling technology, came under scrutiny following a May 2026 report by Morpheus Research.

The Morpheus Research report questioned the existence of the DarkNX project and the capability of the entity DarkNX to undertake such a venture. The report cited former Innventure executives who allegedly described revenue projections as "pure fiction." The deadline for investors to submit their losses and potentially lead the class action is October 27, 2026.

The situation culminated on August 13, 2026, when Innventure disclosed that the deployment site for the DarkNX purchase order was no longer available. Consequently, the project was removed from internal bookings, and the company suspended its 2026 revenue and cash flow expectations. Between May 27 and August 14, 2026, Innventure's stock price fell 74% amid these revelations.
