Innventure, Inc. Faces Securities Fraud Class Action Lawsuit
Pomerantz LLP has filed a class action lawsuit against Innventure, Inc., alleging securities fraud or other unlawful business practices by the company and its officers.

Pomerantz LLP announced a class action lawsuit has been filed against Innventure, Inc. (NASDAQ: INV) and certain of its officers and/or directors. The suit alleges that the company and its executives engaged in securities fraud or other unlawful business practices.
The lawsuit centers on Innventure's prior announcements concerning a partnership between its subsidiary, Accelsius Holdings LLC, and DarkNX, a purported global digital infrastructure company. In November 2025, Innventure stated that DarkNX would deploy Accelsius's cooling technology across a new 300 MW AI data center campus in Ontario, Canada. The initial phase was planned to include two 65 MW facilities, with deployments scheduled for 2026 and 2027.
Concerns began to surface in May 2026 when Morpheus Research published a report questioning the existence of the DarkNX project. The report alleged "zero evidence this project exists or that DarkNX has the team or funding to even contemplate such a project." The report also cited former Innventure employees who stated the company's management used "false information" and "pure fiction" revenue projections to solicit investments.
Following the report's release, Innventure's stock price fell 8.42% on May 28, 2026. The situation worsened on August 13, 2026, when Innventure reported its second quarter 2026 results. The company disclosed a net loss of $34.9 million and announced it was "suspending [its] previously communicated expectations regarding Accelsius' 2026 revenue and cash flow targets." This news caused Innventure's stock price to plummet 55.1% by the close of trading on August 14, 2026.
Investors who purchased or otherwise acquired Innventure securities during the class period have until October 27, 2026, to ask the Court to appoint them as Lead Plaintiff in the lawsuit.
