JCDecaux SE Annual General Meeting Approves Resolutions, Confirms Executive Compensation and Board Appointments
JCDecaux SE's Combined Annual General Meeting held on May 14, 2025, approved all resolutions, including financial statements and the renewal of board member mandates. The 2025 executive compensation policy and 2024 compensation components were also ratified.

JCDecaux SE (Euronext Paris: DEC) held its Combined Annual General Meeting on May 14, 2025, at the company's headquarters in Paris. All resolutions presented to the shareholders were approved by the attendees.
The approved resolutions included the financial statements for the year ending December 31, 2024. Mandates for three Supervisory Board members were renewed: Gérard Degonse and Jean-Pierre Decaux for one year, while Alexia Decaux-Lefort's mandate was extended for three years. Additionally, Guillaume Pepy was appointed as a Supervisory Board member for a three-year term, replacing Michel Bleitrach.
The meeting also ratified the 2025 compensation policy for corporate officers and the compensation components paid or allocated for the 2024 fiscal year. Expiring financial delegations and authorisations granted to the Executive Board were renewed. Article 17 of the company's articles of association was amended to align with the 'Attractiveness Law' of June 13, 2024.
Following the AGM, the Supervisory Board reappointed Gérard Degonse as Chairman and Jean-Pierre Decaux as Vice-Chairman for the duration of their board terms. Jean-François Decaux was appointed Chairman of the Executive Board and Jean-Charles Decaux as Chief Executive Officer for one year, adhering to the company's executive succession principle.
