J.P. Morgan Clarifies QSBS Tax Benefits for Businesses
J.P. Morgan Structured Products B.V. has issued guidance on Qualified Small Business Stock (QSBS) tax benefits. The company emphasizes that the benefit can be permanently lost if requirements are not met.

J.P. Morgan Structured Products B.V. has released a guide detailing the tax benefits associated with Qualified Small Business Stock (QSBS), highlighting its importance for startup founders and early investors. QSBS allows for the exclusion of up to 100% of federal capital gains upon exit, provided the stock meets specific IRS requirements and has been held for at least five years.
The QSBS benefit is a one-time opportunity tied to a company's assets and the timing of stock issuance. A company's gross assets must remain below a certain threshold at the time of stock issuance, and at least 80% of assets must be used in an active business. Failure to meet these conditions results in the permanent loss of the tax benefit, underscoring the need for strategic planning well before potential liquidity events.
Gigi Orta, Managing Director and Wealth Advisor at J.P. Morgan Private Bank, explains that if a company's gross assets ever exceed $75 million, it disqualifies the company from issuing further QSBS stock. This threshold is critical, as eligibility does not return even if assets later decrease.
A legislative change effective in 2025 will increase the gross asset cap from $50 million to $75 million, potentially reopening opportunities for some businesses. Proactive planning, such as distributing QSBS-eligible shares across multiple taxpayers (stacking) or reinvesting proceeds into another QSBS-qualified company, can maximize the total capital gains exclusion.
