Kalmar Corporation held its Annual General Meeting (AGM) in Helsinki on March 31, 2026. The meeting adopted the company's financial statements for 2025 and approved a dividend distribution.

The dividend was set at EUR 1.09 per class A share and EUR 1.10 per class B share, with a record date of April 2, 2026, and payment on April 13, 2026. The AGM also granted discharge from liability to the Board members and the CEO for the 2025 financial year.

The number of board members was confirmed at eight. Jaakko Eskola, Lars Engström, Marcus Hedblom, Vesa Laisi, Casimir Lindholm, Sari Pohjonen, and Emilia Torttila-Miettinen were re-elected, and Carita Himberg was elected as a new member. Board remuneration was confirmed, with approximately 40% of fixed remuneration to be paid in class B shares.

The AGM re-elected Ernst & Young Oy as the company's auditor. Furthermore, the Board of Directors was authorized to decide on the repurchase and/or acceptance as pledge of the company's shares, as well as on the issuance of shares and option rights. These authorizations are valid until the end of the next AGM, but no longer than 18 months.
